Terms of Service

The agreement between you and Clozd for use of the Clozd CRM.

For customers (wholesalers, investors, and their team members) who create an account and use Clozd.

1. Acceptance of these terms

By creating an account or using Clozd, you agree to these terms.

  • Clozd is operated by [COMPANY LEGAL NAME] ("Clozd", "we", "us"), [ENTITY TYPE] registered in [JURISDICTION], company no. [NUMBER].
  • If you accept on behalf of a company, you confirm you are authorised to bind it.
  • You must be at least 18 and legally able to enter a contract.

2. The service

Clozd is a multi-tenant CRM for real estate wholesalers.

  • Lead, contact, deal, and pipeline management; tasks, workflows, and team roles.
  • SMS and voice calling through Twilio; property data enrichment through REAPI; property imagery via Google Maps.
  • Optional AI agent features (text and voice) that respond to and contact leads on your behalf.
  • We may add, change, or remove features over time.

3. Accounts and eligibility

  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • You must provide accurate information and keep it up to date.
  • You are responsible for your team members’ use of your workspace.

4. Your data and your responsibilities

You own the data you put into Clozd. You grant us a licence to host and process it solely to provide the service.

  • You are responsible for the accuracy and lawfulness of the data you load (including leads, contacts, and property-owner details).
  • You must have a lawful basis to store and contact the individuals in your workspace.
  • Our processing of personal data on your behalf is governed by our Data Processing terms (to be finalised).

5. Messaging and telephony compliance

This is critical. You are the sender and caller of record for all messages and calls made through your workspace.

  • You are solely responsible for obtaining any consent required before texting or calling a person, and for honouring opt-outs.
  • You must comply with all applicable laws and carrier rules, including the TCPA, A2P 10DLC registration, state and federal Do-Not-Call rules, and call-recording / two-party-consent laws.
  • Clozd provides tools (e.g. recording notices, opt-out handling) but does not provide legal advice and is not responsible for your compliance.
  • Misuse that harms deliverability or violates carrier rules may result in suspension.

6. Acceptable use

  • No unlawful, deceptive, harassing, or abusive activity; no spam or unsolicited bulk messaging.
  • No attempt to breach security, reverse engineer, or disrupt the service.
  • No use of third-party data (e.g. property records) beyond what its provider licenses.

7. Third-party services

Clozd integrates third-party services to function. Your use of them may be subject to their own terms.

8. Fees and billing

  • Pricing, billing cycle, and any usage-based charges (e.g. telephony, AI minutes) are [TO BE CONFIRMED].
  • Fees are exclusive of taxes unless stated. Non-payment may lead to suspension or termination.

9. Intellectual property

  • Clozd and its software, design, and trademarks are owned by us. These terms grant you a limited, non-exclusive right to use the service.
  • You retain ownership of your data.

10. Disclaimers

  • The service is provided "as is" without warranties of any kind.
  • We do not guarantee message/call deliverability, lead outcomes, or that third-party property data is accurate or complete.
  • Clozd does not provide legal, financial, or investment advice.

11. Limitation of liability

To the maximum extent permitted by law, Clozd’s aggregate liability is limited to [CAP, e.g. fees paid in the prior 12 months], and we are not liable for indirect or consequential loss. [Confirm with counsel.]

12. Indemnity

You agree to indemnify Clozd against claims arising from your data, your use of the service, or your failure to meet your compliance obligations (including messaging/telephony consent).

13. Termination
